These terms and conditions outline the rules and regulations for the use of Diza AI's Website, located at dizaai.com.

1. Agreement to Terms

By accessing this website and using our AI Agent services, you accept these terms and conditions in full. Do not continue to use Diza AI if you do not agree to all of the terms and conditions stated on this page.

2. Service Usage

You must be at least 18 years of age to use this platform.
You are responsible for the content you upload to train your AI Agent.
You agree not to use the AI Agent for sending spam, offensive content, or violating WhatsApp/Meta's official policies.

3. Payments & Subscriptions

Services are billed on a subscription basis (Monthly or Annual). You agree to pay the fees associated with your chosen plan. Failure to pay will result in service suspension.

4. WhatsApp API Fees

The one-time WhatsApp API activation fee (₹1,999) is non-refundable once the activation process has been initiated with Meta. Monthly conversation charges apply as per Meta's pricing model.

5. Intellectual Property

Unless otherwise stated, Diza AI and/or its licensors own the intellectual property rights for all material on the platform. All intellectual property rights are reserved.

6. Limitation of Liability

Diza AI shall not be held liable for any damages arising out of the use or inability to use the services, including but not limited to business interruption or loss of data.

7. Governing Law

These terms are governed by and construed in accordance with the laws of India, and you irrevocably submit to the exclusive jurisdiction of the courts of India.

8. Refer & Earn — Affiliate Program

Diza AI operates a Refer & Earn program that allows existing clients to earn wallet credits by referring new clients to the platform. Participation in this program is subject to the following rules:

Eligibility: Only registered clients with an active or trial account may participate. You must be in good standing (no fraud, spam, or policy violations) to earn or redeem referral credits.
How It Works: Each client receives a unique referral link from their dashboard. When a new user signs up using your referral link and successfully completes a paid plan recharge, you earn a commission automatically credited to your in-platform Wallet.
Commission Structure:
- Basic Plan recharge → 5% commission
- Start-Up Plan recharge → 7% commission
- Growth Plan recharge → 10% commission
Recurring Commissions: You earn a commission on every plan recharge made by your referred client, not just the first. As long as they stay subscribed and recharge, you keep earning — with no expiry.
Wallet Credits: Earned referral commissions are credited to your in-platform Wallet Balance. Wallet credits can be used to offset future plan recharges within the platform. They are non-transferable and have no cash value.
7-Day Warm Period: All newly earned commissions are placed in a 7-day "In Process" period before they are confirmed as Credited. This period allows for verification and fraud prevention. During this window, the amount is visible in your dashboard but not yet available for use.
Minimum Threshold to Use Wallet: A minimum wallet balance of ₹1,000 must be accumulated before credits can be applied to a payment. Below this threshold, the balance is visible in your wallet but cannot be used. This is to prevent fragmented micro-transactions.
Wallet Redemption: Wallet credits can be applied against your own subscription renewals. Credits cannot be withdrawn as cash, transferred to other accounts, or refunded under any circumstances.
No Self-Referrals: Referring yourself, your own business entity, or any account under your direct control is strictly prohibited and will result in immediate disqualification and forfeiture of all earned credits.
Fraud Prevention: We reserve the right to withhold, reverse, or cancel any referral credits that are found to be fraudulent, manipulated, or in violation of these terms. This includes fake sign-ups, duplicated accounts, or any artificial inflation of referrals.
Program Changes: Diza AI (a DizitalSquare product) reserves the right to modify, pause, or discontinue the Refer & Earn program at any time with reasonable notice. Existing earned credits will be honored for 90 days after any program discontinuation.
Cookie Tracking: Referrals are tracked via a browser cookie valid for 30 days from the time the referral link is clicked. If the new user signs up after 30 days, the referral may not be attributed.
